These Terms & Conditions (“Terms”) govern your use of the Ardent Intention website and the purchase of services. By accessing this website or booking a session, you agree to these Terms.

Services Offered

Ardent Intention provides strategic advisory services focused on operating architecture and structural clarity for scaling companies.

Our primary entry engagement is the Strategic Operating Diagnostic, a structured operating assessment designed for founders and operators experiencing growing operational strain as their company scales.

The Strategic Operating Diagnostic includes preparation, structured analysis, a live working session, and the delivery of strategic insights intended to clarify how the organization’s operating structure, decision ownership, and systems are functioning in practice.

The purpose of the engagement is to:

• Identify where the current operating structure is creating friction
• Clarify how decisions, ownership, and workflows are actually functioning
• Diagnose structural issues that limit scale or operational clarity
• Determine appropriate next steps for strengthening the company’s operating architecture

This engagement is diagnostic and strategic in nature. It is designed to provide operating clarity and informed recommendations. It is not an implementation service.

Follow-On Services

Ardent Intention may offer additional advisory services following the Strategic Operating Diagnostic.

These services may include:

• Operating Architecture Design
• Decision Rights & Ownership Frameworks
• Organizational Structure & Leadership Alignment
• Systems & Process Architecture
• Strategic Technology Alignment (including AI where appropriate)

Participation in the Strategic Operating Diagnostic does not require or obligate engagement in any follow-on services.

Any additional services are:

• Optional
• Scoped separately
• Governed by their own written agreement, pricing, and terms

The Diagnostic may inform recommendations for next steps, but all decisions regarding further work remain solely at the client’s discretion.

Fit & Engagement Expectations

By booking a Strategic Operating Diagnostic, you acknowledge that:

• You are seeking strategic clarity about how your company operates and where structural strain may be limiting scale
• You are willing to examine ownership, structure, and decision-making within your organization
• The value of the engagement depends on honest input and active participation

Ardent Intention reserves the right to decline or discontinue an engagement if it is clearly not a fit.

Session Recording Consent

By booking and participating in services with Ardent Intention, you acknowledge and consent to the use of Microsoft Teams for service delivery and to the recording of sessions when disclosed in advance.

If you do not consent to recording, you must notify Ardent Intention prior to the session. In some cases, recording may be required to deliver the service effectively.

Advisory Nature & Disclaimer

All services provided by Ardent Intention are:

• Strategic and educational in nature
• Based on professional judgment, experience, and information provided by the client
• Intended to support decision-making, not replace it

Ardent Intention does not provide legal, financial, accounting, or investment advice.

You acknowledge that:

• Business outcomes vary based on execution, timing, and external factors
• No specific revenue, growth, or performance results are guaranteed
• You retain full responsibility for decisions and actions taken as a result of the engagement

Client Responsibility

The effectiveness of advisory services depends on the accuracy and completeness of information provided by the client.

By engaging Ardent Intention, you agree that:

• You will provide accurate and complete information relevant to the engagement
• You will disclose material operational, technical, or organizational constraints that may affect recommendations
• You understand that recommendations are based on the information available at the time of the engagement

Ardent Intention is not responsible for outcomes resulting from incomplete, inaccurate, or withheld information.

Implementation of recommendations, operational changes, or strategic decisions remains the sole responsibility of the client.

Payments

All services are paid in advance unless otherwise agreed in writing.

Payments are processed securely through third-party providers such as Stripe. Ardent Intention does not store or have access to full payment card details.

Refund Policy

Because the Strategic Operating Diagnostic involves reserved time, professional analysis, and customized strategic work:

• Payments are non-refundable once the engagement has begun
• If you cancel before any diagnostic work or scheduled sessions have started, you may request a refund or reschedule with reasonable notice
• Missed or unattended sessions are not refundable
• Refunds or exceptions, if any, are granted at the sole discretion of Ardent Intention

This policy exists to protect the integrity of the engagement and the time reserved for it.

Scheduling

Scheduling is handled through third-party tools such as Tidycal. You are responsible for providing accurate availability, attending scheduled sessions, and responding in a timely manner to requests necessary to complete the engagement.

Intellectual Property

All materials, insights, frameworks, and written outputs provided by Ardent Intention remain our intellectual property unless otherwise agreed in writing.

You are granted a limited, non-transferable license to use the deliverables internally within your business. You may not resell, redistribute, or publish materials externally without prior written permission.

Confidentiality

Client information shared during the engagement is treated as confidential and is not intentionally disclosed to third parties except as required to deliver services or as required by law.

Independent Advisory Relationship

Ardent Intention operates as an independent advisory firm.

Nothing in these Terms or in any engagement shall be interpreted as creating:

• An employment relationship
• A partnership or joint venture
• A fiduciary relationship
• Authority for Ardent Intention to make decisions on behalf of the client

All recommendations are advisory in nature. Final authority and responsibility for business decisions remain with the client.

Third-Party Tools

Ardent Intention uses trusted third-party platforms, including Stripe, Tidycal, and CRM systems, to operate the business. We are not responsible for the policies or practices of third-party services.

Limitation of Liability

To the fullest extent permitted by law, Ardent Intention shall not be liable for any indirect, incidental, or consequential damages arising from the use of this website or our services.

In no event shall Ardent Intention’s total liability exceed the amount paid by the client for the specific engagement giving rise to the claim.

Changes to These Terms

We may update these Terms from time to time. Continued use of the website or services after updates are posted constitutes acceptance of the revised Terms.

Governing Law

These Terms are governed by the laws of the jurisdiction in which Ardent Intention operates, without regard to conflict of law principles.
